Nueva Ley de modificaciones estructurales de sociedades mercantiles
El Real Decreto-ley 5/2023, de 28 de junio, deroga la Ley 3/2009, de 3 de abril, e introduce numerosas no-
vedades en materia de modificaciones estructurales para, entre otras cuestiones, transponer la Directiva (UE)
2019/2121 del Parlamento Europeo y del Consejo, de 27 de noviembre de 2019, por la que se modifica la Di-
rectiva (UE) 2017/1132 en lo que atañe a las transformaciones, fusiones y escisiones transfronterizas. En este
foro se exponen los cambios más relevantes que trae esta nueva normativa.

New regulation in the field of structural modifications
Royal Decree-Law 5/2023 of 28 June repeals Law 3/2009 of 3 April and introduces new regulation in the field
of structural modifications such as the transposition of Directive (EU) 2019/2121 of the European Parliament
and of the Council of 27 November 2019 amending Directive (EU) 2017/1132 as regards cross-border
transformations, mergers and spin-offs. This article gives an overview of the main changes brought about by
this new regulation.
