LA APERTURA DE LA FASE DE LIQUIDACIÓN DEL CONCURSO, O SI, POR EL CON-
TRARIO, DEBEN APLICARSE OTRAS CAUSAS QUE SEAN ANTERIORES EN EL TIEM-
PO Y PERSISTAN EN EL MOMENTO EN QUE SE ABRA LA FASE DE LIQUIDACIÓN
Comment to the Spanish Supreme Court Judgement 1666/2020, of December 3
(Appeal 578/2019). It’s analized if the only applicable cause of resolution to the
contract would be the opening of the liquidation of bankruptcy, or if, conversely,
other causes previous in time and that persist in the moment when the liquida-
tion is opened should be applied

Resumen: El Tribunal debe ponderar caso a caso cuál de las causas de resolución debe prevalecer,
lo que lleva a valorar respecto del incumplimiento qué se estipuló en las cláusulas, qué circuns-
tancias concurrían, la entidad, y alcance del incumplimiento o la reacción del contratista ante las
dificultades de ejecutar el contrato.
Este juicio reviste interés respecto de la incautación de la garantía definitiva. Así, de declararse
el concurso culpable o fraudulento procede siempre tal incautación (artículo 111 RGLCAP), regla
que no rige si se califica como fortuito; por el contrario, si la resolución es por incumplimiento de
obligaciones esenciales, al pronunciamiento exigible ex artículo 113.5 del TRLCAP, se añade un
juicio valorativo en el que debe precisarse si el incumplimiento del contratista es culpable (artículo
113.4 del TRLCAP).

Abstract: The Court must weigh on a case-by-case basis which of the causes for termination
should prevail, which leads to an assessment of the breach of contract, what was stipulated in
the clauses, what circumstances were involved, the entity, and the extent of the breach or the
contractor’s reaction to the difficulties in executing the contract.
This judgment is of interest with respect to the seizure of the final guarantee. Thus, if the tender
is declared guilty or fraudulent, such seizure is always appropriate (article 111 RGLCAP), a rule
