Los principales acuerdos precontractuales en USA son los agreements to negotiate (acuerdos de negociar), los memoranda of understanding y los agreements to agree (acuerdos de acordar). Aunque las denominaciones de estas figuras precontractuales se suelen utilizar de forma indistinta por los operadores del tráfico jurídico, los tribunales y la doctrina. Los agreements to negotiate se caracterizan por regular el proceso negociador. Dentro de las obligaciones que contemplan se encuentran la de confidencialidad, la de negociar de buena fe, negociar en exclusividad por un cierto tiempo, los hitos del proceso... Within the corporate governance literature, the notion of diversity has emerged as an important regulatory mechanism.
